Welcome to the website ("Site") for Zip Mint Corp. d/b/a Zip Mints ("Zip Mints," “we,” “us,” or “our”). Please feel free to use and enjoy this Site, including the viewing and purchasing of our mints and related products ("Products"), that we offer.
We would like you to know that by accessing, browsing and/or using this Site, you acknowledge that you have read, understood and agreed to be bound by these Terms and Conditions of use ("Terms") and to comply with all applicable U.S. laws and regulations. You understand that you are entering into a binding contract with Zip Mints when you access and use the Site. IF YOU DO NOT AGREE TO COMPLY WITH THESE TERMS, YOU MAY NOT ACCESS OR USE THE SITE OR PURCHASE OUR PRODUCTS ONLINE.
You hereby represent and certify that you are at least 18 years of age and that you have the capacity to enter into a binding contract. If you do not or cannot agree to these Terms, please do not use the Site or purchase any of the Products offered through the Site.
From time to time, Zip Mints may need to change or modify these Terms and, as such, Zip Mints reserves the right, in its sole discretion, to do so as needed. Your continued viewing of or use of the Site following the posting of any changes to the Terms will constitute your agreement to any such changes. Zip Mints displays/offers content on the Site for you to examine. An example of some of the content includes but is not limited to: text, information, product descriptions, illustrations, materials, designs, images, drawings, audio, video, visuals, graphics, charts, photographs, compilations, data, databases, data sets, interfaces, icons, software, computer code, hypertext markup language (HTML), scripts, trademarks, trade dress, logos, slogans, names of products and services, and other similar items, including the features, functions, including its design, selection, and arrangement. (“Content”).
The Content is and shall remain the sole and exclusive property of Zip Mints or, as applicable, its licensors. Zip Mints attempts to display the Content in a way that will be easily accessible and useful for you, the customer. The selection and arrangement of this content, as well as the software published on the Site, are owned by and subject to copyright and or patent protection of Zip Mints or, when applicable, its licensors.
All the trademarks, service marks, trade names, product names, company names, domain names, patented products, and logos appearing on this Site are proprietary to Zip Mints or are the property of their respective owners. Unless approved in writing in advance by Zip Mints, you agree not to: (a) provide or create a link to the Site; (b) create any frames at any other web sites pertaining to or using any of the content located at this Site; (c) use our name, trademarks, or logos in connection with any product or service that is no under Zip Mints’ ownership or control.

All statements or opinions expressed in the content provided by third parties are solely the opinions and the responsibility of that third party. The third-party content does not necessarily reflect the opinion of Zip Mints. If you choose to create an account with our Site, you will be asked to provide certain information, including your email address, create a password, and provide certain Personal Data to Zip Mints including your name, billing address, and contact information (“Personal Data”). You agree to keep such Personal Data current and that the information you provide shall be truthful. You agree to (i) immediately notify Zip Mints of any known or suspected unauthorized use(s) of your password or account, or breach of security, including loss, theft, or unauthorized disclosure of your password; and (ii) ensure that you log out from your account at the end of each session. Zip Mints will not be liable for any injury, loss or damage of any kind arising from or relating to your failure to comply with this Section.
- Termination of Account by You.
You may terminate your account at any time by providing written notice to Zip Mints using any contact method in the Contact Us section of these Terms. To learn more about our practices concerning our collection, use, storage, and disclosure of Personal Information submitted through the Site, see our Privacy Policy.
Any User-Generated Material you have Submitted using the Site may remain in our archives and continue to be accessible by other users. We have no obligation to return any User-Generated Material you have Submitted. If you want to retain copies of that User-Generated Material, you must do so before you terminate your account.
- Suspension or Termination of Your Account by Zip Mints.
Zip Mints may suspend or terminate your account and/or your access to or use of the Site for any reason, with or without prior notice to you. In such a case, you must immediately cease accessing and using your account and/or the Site. Zip Mints shall not be liable to you or any third party for any termination or suspension of your account or any ability to access or use the Site. Zip Mints has no obligation to archive or otherwise store any User-Generated Material upon suspension or termination of your Account.
- Nature of User-Generated Material.
You may use the Site to create, post, upload, transmit, display, publish, distribute, broadcast, or otherwise submit (collectively, “Submit”) comments, data, images, text, photos, and other content and materials, and to respond to content provided by others (collectively, “User-Generated Material”).
In Submitting User-Generated Material to our Site, you represent and warrant to Zip Mints that the User-Generated Material is true and accurate, and that such User-Generated Material will not cause harm to any third party. Any User-Generated Material will be treated as non-confidential and non-proprietary. By providing any User-Generated Material, you grant Zip Mints, its affiliates, and service providers, and each of their and our respective licensees, successors and assigns, the right to use, reproduce, modify, perform, display, distribute or disclose to third parties any such User-Generated Material for any purpose. Zip Mints, its affiliates and service providers may share your User-Generated Material for any purpose whatsoever, including, but not limited to, developing, manufacturing, advertising and marketing our products and services. We assume no responsibility for reviewing unsolicited ideas for our business, such as product or advertising ideas. By submitting any User-Generated Material to the Site, you waive any right to compensation of any type for such User-Generated Material.
- Disclaimer of Responsibility for User-Generated Material.
ZIP MINTS ASSUMES NO RESPONSIBILITY OR LIABILITY IN ANY MANNER ARISING OUT OF OR IN CONNECTION WITH THE CREATION, USE, STORAGE, LOSS OR DESTRUCTION OF ANY USER-GENERATED MATERIAL.
- Review & Removal of Material.
Zip Mints has no obligation to, but reserves the right to, monitor, review, screen, refuse to post, remove in whole or in part, modify, edit, reorganize, recategorize, and delete (at any time, for any reason, and without prior notice) any User-Generated Material in its absolute and sole discretion.
When you use the Site or Submit User-Generated Material, you agree to comply with the following Acceptable Use Policy:
- Compliance with Laws.
You agree to use the Site in compliance with applicable federal, state or local laws, rules or regulations (“Applicable Laws”).
- Truthful and Honest.
You agree that when using the Site you will:

These Terms do not confer any rights, remedies, or benefits upon any person other than you and Zip Mints.
TO THE FURTHEST EXTENT PERMITTED BY LAW, UNDER NO CIRCUMSTANCES INCLUDING, WITHOUT LIMITATION, ZIP MINTS' NEGLIGENCE, SHALL ZIP MINTS BE LIABLE FOR ANY DAMAGES INCLUDING, WITHOUT LIMITATION, DIRECT, SPECIAL, INDIRECT, CONSEQUENTIAL, EXEMPLARY AND/OR INCIDENTAL DAMAGES THAT RESULT FROM YOUR USE OR INABILITY TO USE THIS SITE, ANY OF ZIP MINTS' CONTENT AND/OR ANY RELATED SOFTWARE, EVEN IF ZIP MINTS OR AN AUTHORIZED ZIP MINTS REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Zip Mints is located in New York and, therefore, the laws of the State of New York (excluding any principles of conflicts of laws) govern your use of the Site, Products, and these Terms. Any legal action or proceeding relating to your access to, or use of, this Site or Zip Mints' Products shall be instituted only in a State or Federal Court located in Queens County, New York U.S.A. You and Zip Mints hereby agree to submit to the jurisdiction of, and agree that venue is proper in, these courts in any such legal action or proceeding.
Furthermore, no delay or omission by Zip Mints to exercise any right or any noncompliance on your part with respect to the Terms shall impair any such right or be construed to be a waiver by Zip Mints. Any cause of action or other claim with respect to the Site or the subject matter of these terms must be commenced within one year after the cause of action or claim arises.
The Site is not intended for use outside of the United States. The Site is hosted on servers located in the United States and is intended to be viewed by residents of the United States.
Zip Mints will cooperate with law enforcement if you are suspected of having violated Applicable Laws. YOU WAIVE AND HOLD ZIP MINTS HARMLESS FOR ANY COOPERATION WITH, OR DISCLOSURE OF YOUR INFORMATION TO, LAW ENFORCEMENT RELATING TO YOUR SUSPECTED VIOLATION OF APPLICABLE LAWS.
- Enforceability.
If any portion of these Terms is found to be void, invalid or otherwise unenforceable, then the remaining portion shall be deemed to be superseded by a valid, enforceable provision that matches the intent of the original provision as closely as possible. The remainder of these Terms shall continue to be enforceable and valid according to terms contained herein.
- Entire Agreement.
These Terms constitute the entire agreement between you and Zip Mints with respect to your access to and use of the Site.
- No Waiver; Force Majeure.
The failure of Zip Mints to exercise or enforce any right or provision of the Terms shall not constitute a waiver of said right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Zip Mints. Zip Mints shall not be deemed to be in default of any provision of these Terms or for failure in performance resulting from acts or events beyond the reasonable control Zip Mints and arising without its fault or negligence, including, but not limited to, acts of God, civil or military authority, interruption of electric or telecommunication services, civil disturbances, acts of war or terrorists, strikes, fires, floods or other catastrophes.
- Assignment.
You may not assign these Terms without Zip Mints’ prior written consent.
